1. Acceptance of Terms

By accessing and using this website and requesting quotations or placing orders with ERG Supplements ("Company," "we," "us," "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not use our services. These terms apply to all visitors, users, and customers, including business clients, manufacturers, and formulators.

2. Business Use Only

Our products and services are intended exclusively for B2B (business-to-business) use by manufacturers, formulators, distributors, and commercial enterprises. Our products are:

  • NOT intended for retail consumer sale
  • NOT intended for personal use
  • NOT for food, supplement, or cosmetic use without proper formulation and regulatory compliance
  • Intended for commercial manufacturing, research, and wholesale applications only

By placing an order, you represent that you are a legitimate business entity with authority to enter binding contracts and that the products will be used in compliance with all applicable laws.

3. Product Specifications & Ordering

Bulk Hemp CBD Isolate

All products sold are premium bulk hemp CBD isolate meeting the following specifications:

  • CBD Purity: >99.5% (verified by HPLC)
  • THC Content: Non-detectable (<0.03% by HPLC, compliant with 2018 Farm Bill)
  • Appearance: White crystalline powder
  • Minimum Order Quantity (MOQ): 1 kilogram
  • Packaging: Food-grade HDPE pails with tamper-evident seals

Certificate of Analysis (COA)

Each shipment includes batch-specific COA documentation from third-party testing laboratories. COA details include:

  • Cannabinoid profile (HPLC analysis)
  • Heavy metals testing (ICP-MS)
  • Microbial testing (USP <2021> standards)
  • Residual solvents analysis
  • Terpene profile

4. Ordering Process

Quote Requests

Complete the quote request form with accurate company and product information. We will respond within 2-3 business days with pricing, specifications, and terms.

Order Acceptance

Orders are accepted subject to:

  • Completion of Know-Your-Customer (KYC) verification
  • Compliance verification (business legitimacy, regulatory status)
  • Payment terms agreement and approval
  • Product availability

We reserve the right to decline orders that do not meet our due diligence requirements or that we reasonably believe violate applicable law.

Order Confirmation

Once an order is confirmed in writing, you agree to the purchase terms. Changes to orders must be requested within 24 hours of placement.

5. Pricing & Payment

Pricing Structure

Volume-based pricing tiers:

  • 1-5kg: $800/kg
  • 6-10kg: $750/kg
  • 11+ kg: $700/kg

Prices are subject to change. Confirmed orders lock in the agreed-upon price.

Payment Terms

Standard payment terms are:

  • Net 30: Invoice due 30 days from invoice date (for approved customers)
  • 50% Deposit / 50% Balance: Deposit due upon order confirmation; balance due upon shipment
  • Full Payment in Advance: May be required for new customers or large orders

Payment Methods

Accepted payment methods include:

  • Wire transfer (preferred for international orders)
  • ACH transfer (domestic US)
  • Credit/debit card (subject to processing fees)
  • Other methods by arrangement

Late Payment

Orders not paid by agreed-upon dates are subject to suspension. Late payments may incur interest at 1.5% per month or the maximum rate allowed by law, whichever is less.

Currency & Taxes

All prices are in USD. International customers are responsible for customs duties, VAT, and import taxes. We do not cover these costs unless explicitly agreed.

6. Shipping & Delivery

Shipping Timeline

Orders ship within 2-3 business days after payment confirmation. Shipping times vary by location:

  • Domestic (US): 3-5 business days via ground freight
  • International: 7-14 business days (varies by destination and customs)

Shipping Costs

Shipping costs are calculated separately and invoiced based on:

  • Destination address
  • Order weight and volume
  • Shipping method selected
  • International tariffs and surcharges

Risk of Loss

Risk of loss transfers to you upon delivery to the carrier. You are responsible for examining shipments upon receipt and reporting damage or discrepancies within 48 hours.

International Shipping

You are responsible for:

  • Verifying product is legal in your jurisdiction
  • Obtaining necessary import permits
  • Paying all customs duties and taxes
  • Complying with import regulations

7. Quality Guarantee & Returns

Product Quality Warranty

We guarantee that products meet the specifications outlined in the COA at the time of shipment. If a product fails to meet specifications, we will:

  • Replace the product at no charge, OR
  • Provide a full refund

Return Requirements

Claims must be submitted within 30 days of delivery with:

  • Original COA
  • Third-party lab analysis showing failure to meet specifications
  • Proof of proper storage conditions

No Returns for Personal Convenience

Products may not be returned due to personal dissatisfaction or errors in ordering. However, we will work with you to address legitimate concerns or explore alternative products.

8. Limitation of Liability

Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ERG SUPPLEMENTS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Errors or omissions in product information or documentation
  • Third-party claims related to your use of the products
  • Regulatory compliance failures or violations of applicable law

Total Liability Cap

Our total liability to you shall not exceed the amount paid for the product that caused the damage, regardless of the legal theory (contract, tort, strict liability, etc.).

9. Indemnification

You agree to indemnify, defend, and hold harmless ERG Supplements from any claims, damages, losses, or liabilities arising from:

  • Your use of the products in violation of applicable law
  • Your failure to comply with all regulatory requirements
  • Third-party claims related to your formulations or product use
  • Your breach of these Terms & Conditions
  • Your violation of intellectual property, privacy, or other rights

10. Compliance with Law

Regulatory Compliance

You represent that you will:

  • Comply with all federal, state, and local hemp and CBD regulations
  • Comply with all FDA regulations for the intended use
  • Comply with all consumer protection and labeling laws
  • Conduct all required testing and verification
  • Maintain all necessary licenses and permits

2018 Farm Bill Compliance

Our products comply with the Hemp Farming Act (2018 Farm Bill), containing non-detectable THC levels. However, you are responsible for verifying compliance with your local jurisdiction's laws, which may differ from federal law.

No Medical Claims

Our products are raw materials for manufacturing only and make no health claims. You are responsible for all product formulation, testing, labeling, and compliance with FDA regulations.

11. Intellectual Property

All content on this website, including text, graphics, logos, and designs, are the property of ERG Supplements or our licensors and are protected by copyright and intellectual property laws. You may not reproduce, distribute, or transmit any content without our written permission.

12. Confidentiality

Any confidential business information you share (business plans, formulations, volume projections) will be treated as confidential and not disclosed to competitors. However, we may disclose information when required by law or to comply with regulatory obligations.

13. Limitation of Use

You agree not to:

  • Use products for any illegal purpose
  • Resell to retail consumers (B2C)
  • Misrepresent product origin or specifications
  • Violate intellectual property rights
  • Attempt to damage, interfere with, or disrupt our website
  • Access the site through automated means (bots, scrapers)

14. Dispute Resolution

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the United States and applicable state law.

Dispute Resolution Process

Before pursuing litigation, both parties agree to attempt good-faith resolution:

  • Step 2: We will respond within 10 business days with proposed resolution
  • Step 3: If unresolved, parties may pursue arbitration or litigation as permitted by law

Arbitration

Disputes may be resolved through binding arbitration rather than litigation, subject to applicable law.

15. Modification of Terms

We may modify these Terms & Conditions at any time. Changes become effective upon posting. Continued use of our services constitutes acceptance of modified terms.

16. Termination

We reserve the right to refuse service or terminate business relationships that:

  • Violate applicable law
  • Fail compliance verification
  • Involve non-payment or fraud
  • Are used for illegal purposes
